1. Agreement

By accessing or using ishantdubey.com (the "Website") or any service provided by 8 BIT DIGITAL SOLUTIONS ("we", "us", "Company"), you ("User", "you", "Client") agree to these Terms of Service. If you do not agree, do not use our services.

2. Services

We provide digital marketing, marketing automation, advertising management, web development, and AI-assisted content services to businesses and individuals. Specific deliverables, timelines, and fees for managed engagements are defined in a separate written proposal or invoice that incorporates these Terms by reference.

3. User responsibilities

You agree to:

• Provide accurate, current, and complete information when contacting us, signing up, or onboarding for services.
• Use the Website and services only for lawful purposes and not in violation of any Indian or applicable foreign law.
• Not attempt unauthorised access, scraping, denial-of-service, or reverse engineering of our infrastructure.
• Not upload, post, or transmit content that is unlawful, defamatory, infringing, sexually explicit, hateful, or otherwise objectionable.
• Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Hold valid rights, licences, and permissions for any content, brand assets, account credentials, or third-party tools you share with us for service delivery.
• Comply with the policies of platforms whose APIs we operate on your behalf, including but not limited to Google Ads, Meta Ads, Telegram, WhatsApp Business, and YouTube.

4. Use of third-party platforms and APIs

Where our services involve managing or accessing third-party platforms (Google Ads, Google Analytics, Meta, Telegram, etc.) on your behalf, you authorise us to act as your service provider/data processor for that scope. You remain the controller of your accounts and data. Our use of Google APIs is governed by the Google API Services User Data Policy, including its Limited Use requirements.

5. Fees, payments, and billing

• Service fees are quoted in Indian Rupees (INR) unless otherwise agreed. International clients may be invoiced in USD.
• Recurring services are billed monthly/quarterly as agreed; one-time projects are billed per milestone in the proposal.
• Payments are processed via Razorpay, bank transfer, or other agreed methods. Applicable taxes (GST where registered) will be added.
• Late payment beyond 14 days may attract suspension of service and a 2% per month interest charge on the outstanding amount.
• Advertising spend (e.g., Google Ads budget) is paid by the client directly to the platform; agency fees are separate.

6. Refund policy

See our separate Refund Policy. Briefly: digital service deliverables are non-refundable once work has commenced; pre-paid retainers are pro-rated for unused time.

7. Intellectual property

• All Website content (text, design, code, graphics) is owned by 8 BIT DIGITAL SOLUTIONS or licensed to it. You may not copy, redistribute, or create derivative works without prior written consent.
• For client engagements, ownership of bespoke deliverables transfers to the client upon full payment, except for: (a) our pre-existing tools, frameworks, and templates which remain ours under a non-exclusive licence to the client; (b) third-party assets which retain their original licensing terms.
• You retain ownership of materials you provide to us and grant us a non-exclusive licence to use them for the agreed service.

8. Confidentiality

Each party will keep the other's non-public business information confidential during and after the engagement, except where disclosure is compelled by law or with prior written consent.

9. Disclaimers

• Marketing results depend on many factors outside our control (market conditions, ad-platform algorithm changes, product-market fit). We do not guarantee specific revenue, ranking, or conversion outcomes.
• The Website is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• Affiliate links, deal listings, and referral codes published on or via our channels may earn us commission. We may discontinue any link at any time.

10. Limitation of liability

To the maximum extent permitted by Indian law, our aggregate liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill.

11. Indemnification

You agree to indemnify and hold harmless 8 BIT DIGITAL SOLUTIONS and Ishant Dubey from any claim, loss, or damage arising out of (a) your breach of these Terms, (b) content you provide that infringes third-party rights, (c) your misuse of services, or (d) your violation of any law or regulation.

12. Termination

Either party may terminate an engagement with 30 days' written notice. We may suspend or terminate immediately without notice if you materially breach these Terms (including non-payment, illegal activity, or platform-policy violation that exposes us to liability).

13. Modification of Terms

We may update these Terms from time to time. Material changes will be notified by email (for active clients) or a banner on the Website. Continued use after the effective date constitutes acceptance.

14. Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Indore, Madhya Pradesh. Before initiating litigation, parties shall attempt to resolve disputes in good faith through written negotiation for at least 30 days.
